GENERAL SUMMARY & SCOPE OF POSITION
The Senior In-House Legal Counsel will take a prominent role in providing legal advice in support of strategic objectives of Ansell management (as directed) and assume responsibility for proactively managing (and to a degree, designing) and executing Ansell’s approach to transactions, commercial engagements and certain other global initiatives. The selected individual will support the changing needs of Ansell’s global business in delivering high value, timely and cost-effective legal services to Ansell’s management and employees.
RESPONSIBILITIES & SPECIFIC ACCOUNTABILITIES
Primary responsibility for providing legal counsel to directed areas of the company in connection with the day-to-day, routine business operations;
Primary responsibility to provide commercially-minded, legal advice to internal stakeholders in connection with Ansell’s global and domestic business operations.
General commercial work including drafting, reviewing and negotiating a large variety of documents and agreements.
Partner with stakeholders to drive strategic initiatives.
Advise on a broad range of legal topics: including corporate and commercial law matters, contract law and agreements, labor and employment matters and policies, claims / product liability issues, data privacy, regulatory frameworks, corporate social responsibility, litigation and others as applicable.
Develop strong working relationships and work in close collaboration with various levels of management to assess and manage risk and to help implement strategic objectives.
Work with other internal advisory functions (for example compliance, finance, insurance, IT, HR and tax experts) to provide commercially-relevant advice and guidance.
Provide legal support and company secretarial services to the Ansell Group entities as required (e.g., managing minutes, officers, directors, etc.)
Assist in litigation management and reporting.
Assist the Deputy General Counsel & Global Compliance Officer to develop and implement compliance programs, policies and training as needed, based on legal and regulatory requirements, industry standards and best practices.
Conducting and arranging internal legal training to colleagues in the Law Department and throughout the business to help grow the knowledge of fellow colleagues.
Oversight of components of Ansell’s intellectual property portfolio.
Various degrees of domestic travel and internationally will be required for this position
QUALIFICATIONS, EXPERIENCE & SKILLS
Education & Licensing
Juris Doctor (or equivalent law degree). Admitted and member in good standing with the New Jersey bar or qualify for limited in-house counsel license.
Minimum 2+ years of corporate advisory/transactional experience at a law firm or in-house legal department (greater experience valued and will be factored into determination of title/grading along with demonstrated skills).
Commercial business acumen.
Experience with M&A or complex commercial transactions preferred.
Experience with international business preferred; experience with B2B businesses and/or multinational companies strongly preferred.
Demonstrated competency and comfort in counseling of senior management/leadership.
Working basic knowledge of compliance programs, including experience rendering preventative legal advice and counsel.
Familiarity with intellectual property and capability to oversee portfolio activity is a plus.
